An Act To Amend Title 25 Of The Delaware Code Relating To Freedom Of Contract. [HB-371]
Delaware law currently does not allow the parties in commercial loan situations to agree to require insurance policies be given to lenders as evidence of insurance on the collateral, thus inhibiting the freedom of contract. The purpose of this change is to allow parties to have such an arrangement be an enforceable contract. This change does not affect residential owners, who were the intended beneficiaries of the law.

An Act To Amend Chapter 18, Title 6 Of The Delaware Code Relating To The Creation, Regulation, Operation And Dissolution Of Domestic Limited Liability Companies And The Registration And Regulation Of Foreign Limited Liability Companies. [HB-372]
This bill continues the practice of amending periodically the Delaware Limited Liability Company Act (the "Act") to keep it current and to maintain its national preeminence. The following is a section-by-section review of the proposed amendments of the Act. Section 1. This section amends 18-101(7) of the Act to provide, in light of the decision of the Delaware Supreme Court in Olson v. Halvorsen, C.A. No. 1884 (Del. Supr. An Act To Amend Title 8 Of The Delaware Code Relating To The General Corporation Law. [HB-375]
Sections 1-3 and 16-17. These sections amend Sections 104, 111(a)(6), 114(b)(2), 262(b)(3), and 262(d)(2), respectively, to reflect new Section 267. Section 4. This section amends Section 132(b) to clarify that such subsection applies to registered agents for both domestic corporations and foreign corporations. Section 5. The amendment to Section 145(d) clarifies that the second sentence of the subsection, which requires that a determination that indemnification is proper be made by one of the specified decision-making bodies in certain circumstances, (continued...)

An Act To Amend Title 16 Of The Delaware Code Relating To Fire Prevention. [HB-376]
This Act updates Delaware’s Fire Prevention Regulations to require installation of floor proximity emergency lighting and floor proximity exit signs in all new buildings, occupancy conversions, mixed occupancy buildings and additions and repairs to existing buildings. Floor Proximity Exit Signs shall be installed in addition to exit signs currently required under Delaware’s Fire Prevention Regulations.

An Act To Amend Title 30 Of The Delaware Code Relating To Economic Development Incentives. [HB-380]
This proposed tax credit intends to create incentives for existing businesses to partner with the State in the effort to create new employment opportunities for Delaware citizens, and to stimulate the Delaware economy by expanding the tax base. A finder’s fee, a tool used commonly by businesses, is an arrangement by which an intermediary finds, introduces, and brings together parties to a business opportunity. An Act To Amend Title 15 Of The Delaware Code Relating To Elections. [HB-381]
Current Delaware law allows individuals 18 and older, and those who will turn 18 before the next general election, to register to vote through the Division of Motor Vehicles. This act would allow 16 year olds to register to vote through the Division of Motor Vehicle at the time they first apply for their driver’s license. Such individuals, however, will not be allowed to vote unless they will turn 18 before the next general election.

An Act To Amend Title 16 Of The Delaware Code Relating To Controlled Substances [HB-382]
This bill corrects an error in the Delaware Code provision relating to the sale of pseudoephedrine or ephedrine. The law currently provides that a licensed pharmacist, sales clerk or “licensed pharmacy technician” shall require that any person purchasing, receiving, or otherwise acquiring any substance containing pseudoephedrine or ephedrine shall be age 18 or older and show a photo ID.
